RIFC AGM 2017 Poll Results

Over the past week, Club 1872 members have been voting on the resolutions for the RIFC AGM 2017, to decide how the shares held by Club 1872 Shares CIC should be voted. 

The results are as follows.

1. To approve the Company’s audited Financial Statements, the Director’s Report, Strategic Report for the financial year ended 30th June 2017 together with the Auditors report to be received and adopted.

For – 97.6%

Against – 0.5%

Abstain – 1.9%

2. To reappoint Douglas Park as a Director of the Company.

For – 95.4%

Against – 3%

Abstain – 1.6%

3. To reappoint John Bennett as a Director of the Company.

For – 95.1%

Against – 1.9%

Abstain – 3%

4. To reappoint Dave King as a Director of the Company.

For – 93.6%

Against – 4.3%

Abstain – 2.1%

5. To reappoint Paul Murray as a Director of the Company.

For – 90.9%

Against – 6.8%

Abstain – 2.3%

6. To reappoint Graeme Park as a Director of the Company.

For – 85.3%

Against – 10,7%

Abstain – 4%

7. To reappoint Alastair Johnston as a Director of the Company.

For – 96.4%

Against – 2.5%

Abstain – 1.1%

8. To reappoint Campbell Dallas as the Auditors of the Company to hold office until the conclusion of the next AGM.

For – 96.4%

Against – 1.3%

Abstain – 2.3%

9. To approve that the Company remunerates its Auditors.

For – 96.1%

Against – 1.1%

Abstain – 2.7%

10. To authorise the Directors to allot relevant securities on the basis set out in the Notice.

For – 96.1%

Against – 1.2%

Abstain – 2.7%

11. To authorise the Directors to dis-apply pre-emption rights in respect of relevant securities allotted pursuant to Resolution 10 on the basis set out in the Notice.

For – 93.9%

Against – 2.2%

Abstain – 3.9%

Members are also reminded that they can submit questions for the AGM by emailing   with “AGM Questions” in the subject title. The cutoff date for questions will be midnight on Friday 24th November to allow Club 1872 to collate the questions and prioritise the most popular topics.
